Terms of Service

1. Introduction and Acceptance of Terms

YedaBot (Yedabot.com) - a platform that enables entrepreneurs and business owners to create and operate AI-based conversational agents (chatbots). Your access to, use of, or clicking "I Agree" constitutes full, explicit, and binding agreement to these terms. If you disagree - stop using the service immediately.

These terms constitute a legally binding agreement between you and YedaBot. Please read them carefully. Use of the service by minors under 18 is prohibited without parental or guardian consent.

2. Service Description

YedaBot provides a technological infrastructure that enables the creation, configuration, and distribution of automated conversational agents ("the Bot") for business use. The bots are powered by third-party AI models. YedaBot acts as a technology intermediary only and is not a party to conversations between the bot and end users.

YedaBot reserves the right to modify, suspend, limit, or discontinue any part of the service at any time and without prior notice, at its sole discretion.

3. Disclaimer - AI Content

• YedaBot is not responsible for the accuracy, completeness, currency, or reliability of any content generated by the AI.
• Bot responses should not be relied upon for medical, legal, financial, security, or any other professional decisions.
• The Bot Owner (registered user) bears sole responsibility for the content configured in their bot and how their customers use it.
• End users chatting with the bot confirm they are aware they are communicating with an automated system, not a human.

4. Limitation of Liability

To the maximum extent permitted by applicable law, YedaBot, its officers, employees, partners, suppliers, and those acting on their behalf shall not be liable for any damages of any kind, including but not limited to:

• Direct, indirect, incidental, special, punitive, or consequential damages;
• Loss of profits, revenue, business, goodwill, data, or business opportunities;
• Damages arising from reliance on AI-generated content;
• Damages arising from service interruption, failures, breaches, viruses, or any technical failure;
• Damages arising from acts or omissions of third parties, including AI model providers;
• Data breaches, unauthorized data access, security incidents, or privacy violations occurring on or through any third-party website that embeds the widget script, regardless of the cause or origin of such breach;
• Any downtime, performance degradation, visual rendering failure, CSS or JavaScript conflicts, or other disruption to a host website caused by or attributable to the embedding or operation of the widget.

The maximum aggregate liability of YedaBot towards you shall not exceed the amount you paid for the service in the 12 months preceding the event, or 100 ILS - whichever is lower.

5. User Obligations and Responsibilities

The user undertakes:

• Not to use the service for illegal activities, fraud, harassment, spam distribution, or any harmful use;
• Not to configure a bot that impersonates a real human without proper disclosure;
• To inform end users that they are communicating with artificial intelligence;
• Not to enter confidential information, passwords, credit card details, or other sensitive data into the system;
• To comply with all applicable law, including privacy protection law, GDPR regulations (as applicable), and anti-spam laws;
• To bear sole responsibility for all content configured in the bot and any damage caused to end users due to such content.

YedaBot may suspend or close accounts that violate these terms, without refund and without prior notice.

6. Privacy and Data

Collection and processing of personal data is carried out in accordance with our Privacy Policywhich forms an integral part of these terms.

By using the service, the Bot Owner confirms they have legal authorization to collect and process their customers' data, and releases YedaBot from any liability arising from unlawful data processing on their part.

Conversations with the bot may be stored for service improvement, performance analysis, and abuse prevention. YedaBot will not sell user data to third parties for advertising purposes.

7. Intellectual Property

All rights to the platform, including design, code, logo, brand name, and documents, belong to YedaBot and are protected by intellectual property laws. Reproduction, distribution, modification, reverse engineering, or creating derivative works without prior written permission is prohibited.

Content entered by the user into the bot remains the user's property. The user grants YedaBot a non-exclusive, royalty-free license to use this content for the purposes of operating and improving the service.

8. Web Scraping Service

A. User Declarations and Responsibility

By activating the scraping tool, the user declares and undertakes that:

• They are the legal owner of the target site, or hold explicit written consent from the site owner to scrape its content;
• The scraping does not violate the target site's terms of service, its robots.txt file, or any other agreement;
• The scraped content is not protected by third-party copyrights, or the user holds a legal license to use such content;
• The scraped content does not contain personal data of private individuals as defined under applicable privacy law;
• Activating the scraping tool will not cause unreasonable load, disruption, or damage to the target site's servers.

B. Absolute Prohibitions

It is strictly forbidden to use the scraping tool to:

• Scrape sites you do not own and for which you do not have explicit authorization;
• Collect personal identifiers, health data, children's data, financial information, or any sensitive data as defined by law;
• Perform scraping at a rate that causes overload (DoS/DDoS) on the target servers;
• Bypass security measures, authentication, or CAPTCHA of the target site;
• Scrape content behind a paywall, login, or any access restriction you are not authorized to bypass.

C. YedaBot's Status as Technical Intermediary Only

YedaBot acts as a purely technological intermediary in performing the scraping. YedaBot does not examine, verify, or approve the legality of the scraping performed by the user, and bears no responsibility for the scraped content, its accuracy, currency, precision, or the consequences of its use in the bot.

9. Service Availability and Cancellation

YedaBot strives for high availability but does not guarantee uninterrupted service. Maintenance, updates, technical failures, or force majeure events may cause service outages. YedaBot will not be liable for damages resulting from service unavailability.

YedaBot may terminate the entire service with 30 days' advance notice. In the event of service termination due to circumstances beyond YedaBot's control - there shall be no obligation to compensate.

10. Indemnification

The user undertakes to indemnify and compensate YedaBot and its protected parties for any claim, damage, loss, cost, and/or expense (including attorney's fees) arising from: (a) breach of these terms; (b) the user's use of the service; (c) content defined in the bot; (d) infringement of any third party's rights; (e) violation of any applicable law.

11. Changes to Terms

YedaBot may update these terms at any time. Material changes will be published on the site. Continued use of the service after publication of changes constitutes acceptance of the updated terms. It is recommended to check this page periodically.

12. Disclaimer of Warranties — Widget, API & Scripts

YedaBot expressly disclaims all warranties, including but not limited to: (a) any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement; (b) any warranty that the widget or API will be error-free, uninterrupted, secure, or free from bugs, vulnerabilities, or harmful components; (c) any guarantee of 100% uptime, continuous availability, or compatibility with any specific third-party platform, website builder, browser, device, or website environment. Use of the widget is entirely at the embedding party's own risk.

13. Widget Embedding — Extended Liability Exclusion

Without limiting Section 4 above, YedaBot shall bear absolutely no liability whatsoever for:

• Any data breach, security incident, unauthorized access to data, or privacy violation occurring on or through any host website that embeds the widget, regardless of whether such incident arises from the widget, the host website's own systems, or any combination thereof;
• Any downtime, performance degradation, slow loading, rendering failure, or disruption to the host website caused by or attributable to the widget script or its dependencies;
• Any visual, structural, or functional conflicts between the widget and the host website's CSS stylesheets, JavaScript code, third-party plugins, or any other components of the host website's front-end environment;
• Any loss of profits, revenue, sales, business opportunities, goodwill, reputation, or data arising directly or indirectly from the widget's operation, malfunction, or unavailability on the host website;
• Any claim, complaint, or action by any end user of the host website in connection with the widget, its responses, or data processed through it.

The widget and related services are delivered via standard, secure, globally distributed cloud infrastructure and content delivery networks. YedaBot does not warrant or guarantee the continuous availability of such infrastructure. YedaBot accepts no liability for service interruptions or failures attributable to the underlying infrastructure or delivery network.

14. Host Website Operator Obligations

Any person or entity embedding the widget script on a website (the "Operator") assumes sole and full legal responsibility for all of the following:

• Thoroughly testing the widget within their specific website environment prior to any public deployment, including testing for visual rendering, functional operation, and compatibility with the host website's existing code and infrastructure;
• Ensuring the security posture of their own website, including but not limited to maintaining valid SSL/TLS certificates, implementing server-side security hardening, and protecting against unauthorized access to their systems;
• Drafting, maintaining, and prominently publishing an accurate, complete, and legally compliant Privacy Policy on their website that clearly discloses to end users: (i) that a third-party AI-powered chat widget is active on the website; (ii) what categories of data the widget collects or processes; and (iii) how that data is handled, retained, and shared;
• Full compliance with all applicable laws and regulations in their jurisdiction, including but not limited to the GDPR, the Israeli Privacy Protection Law (5741-1981), the California Consumer Privacy Act (CCPA), and any other applicable data protection, consumer protection, or electronic commerce legislation;
• Promptly removing the widget script from all pages of their website upon any termination, expiry, or cancellation of their service agreement with YedaBot.

YedaBot shall not be responsible for, and expressly disclaims any obligation to indemnify or defend, the Operator against any claim, regulatory action, fine, penalty, or damages arising from the Operator's failure to fulfill any of the obligations set forth in this Section 14.
